OFFER TERMS
For new, first-time DISH Network residential customers (only 1 per household). Offer is available in the continental United States between 8/01/04 and 1/31/05 . Number of channels may decline. Local and state sales taxes may apply. To participate, you must provide your Social Security Number to DISH Network for identity verification purposes at time of account set-up, or provide the last four digits of your Social Security Number and pay a $49.99 non-refundable fee to DISH Network at such time. Social Security Numbers are used for identity verification and collection purposes only, and will not be released to third parties except for such purposes.

SYSTEM PURCHASE
You agree to purchase, install and activate either a two-receiver DISH Network DISH 311 satellite TV system for $199 (or higher) or a one-receiver DISH Network DISH 311 satellite TV system for $149 (or higher) and subscribe to Qualifying Programming as described below. You will receive Free Standard Professional Installation. Eligible equipment includes DISH 311 or equivalent. HD receiver requires additional purchase of DISH Network HD Pak.

EARLY TERMINATION CHARGE
United Cable Direct, Inc. requires a 12-month commitment to qualified programming services. Qualified programming described below. United Cable Direct, Inc. shall impose and you agree to pay within 30 days from the date any monthly payment became past due, from the date of disconnection or from the date of termination of service (the earliest of these dates shall control and shall be referred to as the "Termination Date"), the Early Termination Charge defined below. The Early Termination Charge is: (1) $300.00 if the Termination Date occurs within 90 days; (2) $225.00 if the Termination Date occurs after 90 days but before 180 days; (3) $150.00 if the Termination Date occurs after 180 days but before 270 days; (4) $75.00 if the Termination Date occurs after 270 days but before 360 days; and (5) $0.00 if the Termination Date is after 360 days. The Early Termination Chare is a fee charged by United Cable Direct, Inc.

QUALIFYING PROGRAMMING
If you qualify for local network channels and choose to subscribe: Qualifying Programming with local network channels includes America's Top 60 (currently $29.99/mo.), America's Top 120 (currently $39.99/mo.), America's Top 180 (currently $49.99/mo.), DISH Latino (currently $29.99/mo.), DISH Latino Dos (currently $39.99/mo.), DISH Latino Max (currently $49.99/mo.) or Great Wall TV Package (currently $34.99/mo.). If you do not qualify for local network channels or you choose not to subscribe to local network channels: Qualifying Programming includes America's Top 60 (currently $24.99/mo.), America's Top 120 (currently $34.99/mo.), America's Top 180 (currently $44.99/mo.), DISH Latino (currently $24.99/mo.), DISH Latino Dos (currently $34.99/mo.), DISH Latino Max (currently $44.99/mo.) or Great Wall TV Package (currently $29.99/mo.).

PROGRAMMING
Local network channels by satellite are only available if you reside in the specified local Designated Mark et Area (DMA). Channels may vary by market. Certain local network channels may require an additional dish antenna from DISH Network, installed at the time of initial activation free of any charges. A SuperDISH antenna may be required to receive local network channels and will be included at no additional charge with subscription to local network channels. Cities subject to change without notice. Distant Network's packages by satellite are only available for private home viewing and in limited areas, to homes that are located outside a Grade A or B designated area or with the approval of local affiliates. Limit of two distant cities per eligible customer. If you qualify for PBS National Feed, it will be included in the Distant Networks package price at no additional charge. ESPN and ESPN2 programming subject to change and blackout restrictions, and is licensed separately for residential and commercial use. Some games telecast locally may also be included in ESPN packages. FOX Sports Networks programming subject to blackout restrictions, and is licensed for residential use only. Regional sports networks not available in all areas. All payments for programming are non-refundable.

EQUIPMENT CREDITS
You will receive a monthly equipment credit of $10.00 on each bill for up to 20 consecutive months after system activation for the two-receiver DISH Network satellite TV system, or a monthly equipment credit of $10.00 on each bill for up to 15 consecutive months after system activation for the one-receiver DISH Network satellite TV system. The credit amount will be determined by the number of receivers (1 or 2) activated at the time of initial installation. Additional receivers added after initial installation will not change number of monthly credits. If you activate with two receivers but later deactivate the second receiver, you will forfeit any monthly credits past 15 . You will forfeit any remaining credits in the case of a downgrade from Qualifying Programming or service disconnection. Maximum number of monthly credits is 20.

EQUIPMENT & INSTALLATION
Additional receivers must be activated in conjunction with a primary receiver, and are subject to a $4.99 per month Additional Out let Programming Access Fee. For this offer, Standard Professional Installation includes installation of one 20" dish antenna, hook-up of up to two receivers to the same number of TVs and equipment testing, available through DISH Network Service L.L.C. More complex installations may require additional fees; other installation restrictions apply. MSRP Standard Professional Installation $199. MSRP for additional receiver installation $59.

SERVICE FEES
A $4.98 per month DISH Network DVR Service fee will be charged for each DISH Player-DVR 510 receiver; this fee will be waived as long as you subscribe to either America's "Everything" Pak or Latino "Everything" Pak. If at any time you do not subscribe to America 's Top 60, America 's Top 120, America 's Top 180, DISH Latino, DISH Latino Dos, DISH Latino Max or Great Wall TV Package, a $5.00 per month Service Access Fee will apply. There is a $5.00 Change of Service Fee for each programming change except a $10.00 Change of Service Fee for each Adult programming change.

DISH NETWORK STANDARD WARRANTY
Standard one-year warranty includes no-cost repair/replacement of manufacturer defects during the first 90 days. For the remainder of the first year, a $14.95 shipping charge applies to warranty equipment replacement by mail, and a $99 in-home warranty trip service charge applies. IMPORTANT GENERAL STATEMENT
These are the Terms and Conditions by which the Company currently provides DBS TV Service. Your signature on this form indicates that you agree to be bound by these Terms and Conditions.
DEFINITIONS: As used in these Policies and Practices
•"Company", "we", "us", or "our" means United Cable Direct, Inc.
•"Equipment" means all DBS TV equipment necessary to receive and transmit satellite programming signals to your TV, including a satellite dish, lnbf's (low-noise-bearing-feed), switches, mount, remote control(s), inside Wiring and excluding options ancillary equipment.
•"Inside Wiring" or "Inside Wire" means the cable that runs inside your Premises to the satellite dish outside of your Premises, and includes any extra outlets, splitters, connections, fittings or wall plates attached to it.
•"Premises" means the location specified on the Work-Order as the place where the equipment is or will be installed.
•"Service" means satellite-transmitted TV programming or any other service the company provides to you.
•"You" or "your" means the customer identified in the Work-Order
INSTALLATION AND REMOVAL OF EQUIPMENT
We will install or arrange for the installation, and you agree to permit installation, of the Equipment on the Premises, within a reasonable time after the Company has accepted the work order. We shall perform any re-installation, return of, change or transfer in location of the Equipment at our service rates in effect at the time of service. The company shall not be responsible for any damages to the Premises arising from the installation or removal of Equipment, except in the cases of negligence or improper workmanship, and then only to the extent of the actual damages thereof. You agree to provide written notice to Company of any complaint you have concerning negligence or improper workmanship within 30 days after installation or removal of equipment. You agree to allow the Company 30 days to repair or remedy any damages caused by Company's negligence or improper workmanship at Company's expense. You hereby grant the Company an easement in gross covering the routing necessary for installation, operation, removal of Equipment or to repair or remedy any damages caused by reason of negligence or improper workmanship on, across, through, and in the Premises at no cost or charge to the Company.

TRIP FEES TO YOUR RESIDENCE
The Company will collect Trip fees to your residence for installation, billable service repairs, warranty service repairs and equipment removal, if your residence resides outside the Wichita Service Area. The Wichita Service Area consists of all residences and businesses within 30 miles surrounding Wichita, Kansas. All Trip fees will be quoted based on actual mileage to your residence or business.

ACCESS TO YOUR PREMISES
You authorize us or our designees to enter the Premises, in your or your representative's presence, or to enter upon your property during normal business hours or by appointment, to install, inspect, service, replace, remove or otherwise deal with the Equipment or Service we supply. This authorization includes allowing us or our designee to be on your property outside the Premises at reasonable times even if you are not at home. You authorize us or our designee to make your connections and perform other tasks deemed necessary or desirable to enable us to provide the Service to you, including connecting and making necessary attachments to your inside wiring.

CONSENTS AND PERMITS
You represent and warrant that you are the owner of record of the Premises or, if you are a tenant, that you have obtained the written consent of the owner of record of the Premises to the transactions contemplated herein. If you are not the owner of the Premises, you agree to provide to us our designee, if we ask you to, with the owner's name and address, proof that you may give us access on the owner's behalf and, if needed, consent from the owner in a form satisfactory to us. You are responsible for obtaining all required consents and approvals for the installation and operation of the Equipment, including required building permits or approvals from zoning boards.

RELEASE
You hereby release and hold harmless the Company and its employees, agents, contractors, representatives, officials, partners, affiliates, and all other related persons ("Agents"), from all claims, demands, causes of action or suits of any nature or kind and agree to indemnify each of them against any losses, damages or expenses, including attorney fees, and hereby assume all risk of damages or injuries sustained by you or any of your family members or invitees, arising from your failure to perform your obligations under this Agreement, or arising from, growing out of, or in any way related to the use or operation of the Equipment, or Service or the presence of the Equipment on your Premises, except to the extent that the losses, damages or expenses arise from the negligence of the Company or its Agents or which arise from a breach of warranty applicable to the Equipment or arising from breach of the Service Warranty.

United Cable Direct LIMITED EXPRESS WARRANTIES
The Company provides an Equipment Warranty. Under the Equipment Warranty, the Company warrants all installation parts and workmanship for 90 days from the date of original installation and agrees to repair or replace, at Company's sole option, any defective installation parts during this 90 day period. THE COMPANY EXCLUDES AND DISCLAIMS ANY AND ALL OTHER EXPRESS WARRANTIES. In addition, the Equipment Manufacturer warrants the Equipment for 1 year from date of original installation. (See owner's manual for complete manufacturer's warranty)

RESPONSIBILITY FOR LOSS OR DAMAGE TO EQUIPMENT
You are responsible for the loss of or damage to the Equipment. We suggest that your homeowners, renters, or other insurance cover the Equipment in your possession. We may charge you for any repairs that we make that are necessitated by any damage to or misuse of the Equipment.

TRANSMISSION FAILURES
It is your responsibility to notify United Cable Direct, Inc (316) 265-5400 or (888) 325-5401 & DISH Network (800.333.3474) within 24 hours of any transmission-related problems affecting your Service. Except as expressly required by law, the Company shall have no liability for any failure or interruption of Service which results from causes beyond the reasonable control of the Company, including, without limitation, acts of GOD, power failures, or any other causes related to reception quality problems caused by DISH Network software issues relating to inside equipment or Echostar Satellites.

MISCELLANEOUS
  1. The Company is not responsible for problems with the operation of your TV or other TV-related equipment, such as VCR's, DVD's and home antennas, and does not provide service for such equipment even if attached to the Equipment. (Exception: If you purchased the home antenna at the time of installation from the Company, we will offer service work for an additional fee)
  2. These Terms and Conditions, as amended or modified from time to time, shall survive termination of your service.
APPLICABLE LAW
The Work-Order and these Terms and Conditions, including all matters relating to their validity, construction, performance, and enforcement, are governed by applicable federal, state, and local laws or regulations and are subject to amendment, modification or termination if required by such regulations or laws. If any provision of these Terms and Conditions are declared to be illegal or in conflict with any law or regulation, that provision may be deleted or modified, without affecting the validity of the other provisions of these Terms and Conditions.

BUYERS RIGHT TO CANCEL
If this agreement was solicited at a place other than the Seller's Business establishment at a fixed location and you decide you do not want the goods, you the buyers, may cancel this transaction at any time prior to midnight of the third (3rd) business day; after the date of the transaction. See the Notice of Cancellation Form for explanation of this right. The Notice must be mailed or delivered to:

OTHER TERMS AND CONDITIONS
Programming and other services provided are subject to the terms and conditions of the promotional agreement and the Residential Customer Agreement, which is available at the link below for "Residential Agreement." Hardware and programming sold separately. All receivers must be connected to a phone line.
